1. Acceptance of Terms

By accessing or using CXOkit's AI-powered enterprise risk management platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and CXOkit AI Technologies Inc. ("CXOkit," "we," "us," or "our").

Important: If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Description of Services

CXOkit Platform

CXOkit provides an enterprise-grade, AI-powered risk management platform that includes:

  • Artificial intelligence-driven risk assessment and prediction
  • Automated compliance monitoring and reporting
  • Governance, Risk, and Compliance (GRC) workflow management
  • Executive dashboards and analytics
  • Integration capabilities with third-party enterprise systems
  • Real-time threat detection and alerting

Service Levels

We offer different service tiers designed for various enterprise needs:

  • Enterprise: Full platform access with standard support
  • Enterprise Plus: Advanced features with priority support
  • Fortune 500: White-glove service with dedicated support team
  • Custom Enterprise: Tailored solutions with custom SLAs

3. User Obligations and Responsibilities

Acceptable Use

You agree to use CXOkit's services only for lawful business purposes and in accordance with these Terms. You must not:

  • Use the Service for any illegal or unauthorized purpose
  • Attempt to gain unauthorized access to our systems or other users' data
  • Interfere with or disrupt the Service or servers connected to the Service
  • Reverse engineer, decompile, or attempt to extract source code
  • Use the Service to transmit viruses, malware, or other harmful code
  • Share your account credentials with unauthorized users

Data Accuracy

You are responsible for:

  • Ensuring the accuracy and completeness of data you input into the system
  • Maintaining appropriate access controls within your organization
  • Promptly notifying us of any security incidents or data breaches
  • Complying with all applicable laws and regulations in your jurisdiction

4. Software Licensing and Usage Rights

License Grant

Subject to your compliance with these Terms and payment of applicable fees, CXOkit grants you a non-exclusive, non-transferable, revocable license to access and use the Service during the subscription term.

Restrictions

You may not:

  • Sublicense, resell, or distribute the Service to third parties
  • Create derivative works based on our platform
  • Use the Service to compete with CXOkit
  • Exceed the usage limits specified in your subscription plan

API Usage

API access is subject to rate limits and usage quotas based on your subscription tier. Excessive usage may result in temporary throttling or additional charges.

5. Payment Terms and Billing

Subscription Fees

CXOkit operates on a subscription-based model with the following terms:

  • Fees are billed in advance on an annual or monthly basis
  • All fees are non-refundable except as expressly stated
  • Prices are subject to change with 30 days written notice
  • Late payments may incur interest charges and service suspension

Enterprise Billing

For Enterprise and Fortune 500 customers:

  • Custom payment terms available (Net 30, Net 60, etc.)
  • Purchase order and invoice-based billing supported
  • Multi-year agreements with volume discounts available
  • Dedicated account management for billing inquiries

Taxes

You are responsible for all applicable taxes, duties, and government fees associated with your use of the Service, except for taxes based on CXOkit's income.

6. Intellectual Property Rights

CXOkit Intellectual Property

CXOkit retains all rights, title, and interest in:

  • The CXOkit platform, software, and technology
  • All AI algorithms, machine learning models, and proprietary analytics
  • Trademarks, trade names, and branding materials
  • Documentation, training materials, and methodologies
  • Aggregated and anonymized insights derived from platform usage

Customer Intellectual Property

You retain all rights to your proprietary data, content, and intellectual property. CXOkit does not claim ownership of your business data or confidential information.

Feedback and Suggestions

Any feedback, suggestions, or enhancement requests you provide may be used by CXOkit to improve the Service without compensation or attribution.

7. Data Ownership and Processing

Customer Data Ownership

You retain full ownership and control of all data you input into the CXOkit platform ("Customer Data"). We act as a data processor and will process Customer Data only as instructed by you.

Data Processing Agreement

Our data processing activities are governed by our Data Processing Agreement (DPA), which includes:

  • Standard Contractual Clauses for international transfers
  • Technical and organizational security measures
  • Procedures for data subject requests and incident response
  • Subprocessor agreements and notifications

Data Portability

You may export your data at any time using our data export tools. Upon termination, we will provide a final data export and securely delete your data within 30 days.

8. Service Availability and Support

Service Level Agreement

CXOkit provides the following service level commitments:

  • Uptime: 99.9% availability (Enterprise), 99.95% (Fortune 500)
  • Response Time: Platform response under 2 seconds for 95% of requests
  • Support: 24/7 support for critical issues (Fortune 500), business hours for others
  • Maintenance: Scheduled maintenance with 72-hour advance notice

Technical support is available through:

  • In-platform support chat and ticketing system
  • Email support at support@cxokit.com
  • Phone support for critical issues (Enterprise+ tiers)
  • Dedicated customer success manager (Fortune 500)

9. Termination and Suspension

Termination by Customer

You may terminate your subscription at any time by:

  • Providing 30 days written notice for annual subscriptions
  • Canceling at the end of your current billing cycle for monthly subscriptions
  • Contacting your customer success manager for enterprise accounts

Termination by CXOkit

We may suspend or terminate your account for:

  • Non-payment of fees after 30 days past due
  • Material breach of these Terms that remains uncured for 30 days
  • Violations of acceptable use policies
  • Illegal or harmful activities

Effect of Termination

Upon termination:

  • Your access to the Service will be immediately suspended
  • You have 30 days to export your data before deletion
  • All outstanding fees become immediately due and payable
  • Confidentiality obligations survive termination

10. Limitations of Liability

Disclaimer of Warranties

CXOkit provides the Service "as is" and "as available." While we strive for high reliability and performance, we disclaim all warranties except as expressly stated in our SLA.

Limitation of Liability

In no event shall CXOkit's total liability exceed the amount paid by you for the Service in the 12 months preceding the claim. We shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, use, goodwill, or other intangible losses
  • Damages resulting from unauthorized access to or alteration of your data
  • Third-party actions or force majeure events

Indemnification

You agree to indemnify and hold CXOkit harmless from claims arising from your use of the Service, violation of these Terms, or infringement of third-party rights.

11. Governing Law and Disputes

Governing Law

These Terms are governed by the laws of Delaware, United States, without regard to conflict of law principles.

Dispute Resolution

Any disputes arising under these Terms shall be resolved through:

  1. Good Faith Negotiation: 30-day period for direct negotiation
  2. Mediation: Non-binding mediation if negotiation fails
  3. Arbitration: Binding arbitration under AAA Commercial Arbitration Rules

Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitrations.
